Kreston Reeves advises Nichino Europe on acquisition of Interagro
Kreston Reeves has advised Nichino Europe Co. Ltd on its acquisition of Interagro (UK) Ltd and its Dutch and Hungarian subsidiaries.
Nichino Europe provides specialist crop protection products that are recognised for their targeted performance and flexibility of application. Its products are designed to meet the growing demand for environmentally conscious agricultural products. It is a wholly owned subsidiary of Nihon Nohyaku Co., Ltd, based in Tokyo, Japan and Listed on the Prime Market of the Tokyo Stock Exchange.
Interagro manufacturers adjuvants, tank spray agents and biostimulants with operations in the UK, the Netherlands and Hungary and sales in 27 countries. The acquisition continues Nichino Europe’s growth and expansion of its products and services across the UK and continental Europe.
The Kreston Reeves team was led by Corporate Finance Partner Jack Clipsham and Associate Director Craig Dallender. They were supported by Business Valuations Partner Tom Wacher, Corporate Tax Senior Manager Mohammed Mujtaba, Corporate Senior Manager Jeremy Marshall and Corporate Finance Executive Lloyd Halliwell.
Local corporate finance support was provided by Kreston Global member firms Kreston Van Herwijnen in the Netherlands and Budapest Consultans Kft. in Hungary.
Jack Clipsham said: “This was a complex cross-border acquisition involving primary operations in the UK, subsidiaries in the Netherlands and Hungary, and overseen by a listed Japanese parent company. Kreston Reeves advised on the structuring of the deal and the post-acquisition group structure, in addition to leading the financial and tax due diligence, working closely with our Kreston Global firms in Europe. Once again, this transaction demonstrates the power of the Kreston Global network and that we are the ideal corporate finance partner for international businesses looking to make global acquisitions.”
The deal could not have been completed without the commitment and professionalism of Nichino Europe’s inhouse Legal and Finance team and the legal advice of the Birketts Corporate team led by Alexandra Nelson.
Anna Mortenson, General Counsel at Nichino Europe Co. Ltd, said: “This was an important acquisition for the business, and we had the right partner in Kreston Reeves. Its advice and guidance in the UK alongside its ability to coordinate pan-European advisors ensured the acquisition’s smooth progress.”
